ESPP—Employee Stock Purchase Plan
1. Who was eligible to file a claim for an
ESPP transaction?
Employees who participated in the Employee Stock Purchase Plan (ESPP) were
eligible to file a claim if they purchased stock through the plan between
August 14, 1996 and March 18, 2003.
To qualify for a payment, you must have sold or held the stock on certain days
and suffered a net loss. For more information, you can look at the
Plans of Allocation.

2. What was required to file a
claim?
Pre-printed Claim Forms were sent to ESPP participants with annual contribution
summaries. ESPP participants were not required to submit detailed broker
statements to document their claims. Instead, ESPP participants could simply
sign and return their pre-printed Claim Forms without providing additional
documentation unless additional corrections or additions were added to the
Claim Form.

3. What was the deadline for filing
a claim?
The deadline for submitting a claim was February 28, 2008. To date, late claims
have been processed because they have not delayed distribution of the
settlement funds. You may still submit a Claim Form with the required
documentation to support all transactions. If you do submit a claim now, it
will be marked late and it may not be processed if it would delay distribution
of the settlement funds. With respect to all late-submitted claims, even if
they are otherwise valid, there can be no assurance that they will be accepted.
That is a determination that the Courts will make.

ESOP—Employee Stock Ownership Plan
5. May I file a claim for shares I
received from the ESOP?
Shares of stock received through the Employee Stock Ownership Plan (ESOP) are
not eligible for this settlement because the ESOP purchased the stock
distributed to participants in 1991 and 1992, which is before the dates covered
by this settlement.
However, there is another settlement in a separate ERISA lawsuit filed on behalf
of the ESOP. We are not the claims administrator for that case. For
more information or to see if you qualify for payment under that settlement,
please visit that settlement’s website at
www.kellersettlements.com or call the administrator at 866-817-6516.
